1. Acceptance of Terms

By accessing or using i24.co (the “Site”) or any products and services offered by us (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the Site or Services.

2. Eligibility & Accounts

You must be legally capable of forming a binding contract. When you create an account, you agree to:

• Provide accurate and complete information;
• Maintain the security of your login credentials; and
• Promptly update any changes to your information.

3. Services & Availability

We provide modules including (but not limited to) Payroll, CRM, Workflow Management (WMS), Invoice Management (IMS), Assets Management (AMS), and Filings Management (FMS). We may add, modify, or discontinue features at our discretion, with or without notice.

4. Fees, Billing & Taxes

Certain Services may be paid or subscription-based. Fees are stated before purchase or sign-up. Unless otherwise stated, fees are exclusive of applicable taxes, which you are responsible to pay. By providing payment information, you authorize us (and our payment processors) to charge your method of payment.

5. Subscriptions, Renewals & Cancellation

• Auto-Renewal: Subscriptions may auto-renew unless you cancel before the renewal date.
• Cancellation: You can cancel at any time from your account or by contacting support.
• Proration: Unless required by law, partial periods are not typically refunded.

6. Refunds

Refund eligibility is assessed per our policies and applicable law. If you believe a charge is in error, please contact support@i24.co within 7 days of the charge.

7. User Responsibilities

• Use the Services in compliance with all applicable laws and regulations;
• Keep your account secure and notify us immediately of any unauthorized use;
• Ensure data you provide is accurate and lawful to process.

8. Prohibited Uses

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent activity;
• Copy, modify, reverse engineer, or create derivative works of the Services;
• Interfere with or disrupt the integrity or performance of the Services;
• Upload malware, or attempt to gain unauthorized access to systems or data.

9. Data Privacy & Security

Your use of the Services is also governed by our Privacy Policy. We implement reasonable technical and organizational measures to protect data; however, no method of transmission or storage is 100% secure.

10. Intellectual Property

All content, trademarks, logos, and software relating to the Services are owned by i24.co or its licensors. You receive a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to these Terms.

11. Third-Party Services & Links

The Site may contain links to third-party websites or integrate with third-party services. We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall i24.co, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services. Our aggregate liability for all claims shall not exceed the amounts paid by you to us for the Services during the three (3) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless i24.co, its directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms or applicable law.

15. Suspension & Termination

We may suspend or terminate access to the Services at our discretion, including for violations of these Terms, suspected fraudulent activity, non-payment, or to comply with legal requirements. Upon termination, your right to use the Services ceases immediately.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to conflicts of law principles. Courts in Chennai, Tamil Nadu, India shall have exclusive jurisdiction over disputes arising from these Terms.

17. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the Effective Date above. Your continued use of the Services after changes indicates acceptance of the updated Terms.
